Terms of Service

These Terms of Service (the Terms) govern your access to and use of the skillworks.com.au website (the Site) and the purchase of VET course materials and associated digital products (the Products) from Skillworks Australia Pty Ltd (ABN 37 153 650 894) of Level 17, 31 Queen Street, Melbourne VIC 3000 (Skillworks, we, us). By using the Site or placing an order, you agree to be bound by these Terms.

1. Acceptance and scope

These User Registration Terms govern creation and use of a Skillworks website account and any related portal access.

By registering an account, continuing with a guest enquiry or guest checkout, or using the Skillworks website after being presented with these terms, the user agrees to these terms and any linked licence terms, website sale terms, privacy terms and acceptable use rules.

If a user creates or uses an account on behalf of an organisation, that user confirms that they are authorised to bind that organisation.

2. Eligibility and account authority

Accounts are intended for business, institutional and professional users including Registered Training Organisations, CRICOS providers, higher education providers, education businesses and related authorised representatives.

The registering user must provide true, current and complete information for the legal entity that will hold the licence, including organisation name, trading name where relevant, ABN, ACN where relevant, provider code or RTO code where relevant, CRICOS code where relevant, address, contact email and authorised contact details.

Skillworks may refuse registration, suspend access or require verification where information is incomplete, inconsistent, misleading or not capable of verification.

3. No sharing of accounts or credentials

Accounts are personal to the named user and tied to the licensed organisation. The user must not share usernames, passwords, one-time codes, two-factor authentication methods or account access with any other person.

The organisation must ensure that only properly authorised personnel use the account. The user must not allow any third party, related entity, consultant, contractor, student or other provider to use the account unless Skillworks has expressly allowed that use in writing. Any attempt to share or pool account access, credentials or security codes is a material breach of these terms.

4. Security and two-factor authentication

Skillworks may require email verification, two-factor authentication, device verification and other security controls at registration, login, checkout, download or any other sensitive activity.

The user must keep login credentials confidential and must promptly notify Skillworks of any unauthorised access, suspected compromise or security incident. Skillworks may suspend or restrict access to protect the account, the organisation, other customers or Skillworks intellectual property.

5. Use of the website and account

The account and website may only be used for legitimate business enquiries, ordering, licence administration, downloading licensed resources, support requests and related lawful purposes.

The user must not interfere with the website, attempt to bypass security, scrape or harvest data, test vulnerabilities without permission, use bots for unauthorised extraction, or engage in any misleading, unlawful or harmful conduct. The user must not upload, post or transmit anything that infringes intellectual property rights, breaches confidentiality, contains malicious code or otherwise exposes Skillworks or others to risk.

6. Orders, licences and downloads

Registration alone does not grant a licence to use Skillworks resources. Resource use is governed by the applicable licence agreement accepted at or before checkout.

Where a purchase is completed through an account, the purchased resources will be added to the customer account and made available subject to the applicable order terms, licence terms and download controls.

Where a guest checkout is allowed, guest access is limited and does not create the same ongoing account rights, download access period or order history visibility as a registered account. Download availability, re-download conditions, acknowledgement screens and any download limits do not reduce or expand the underlying licence granted.

Prices

All prices displayed on the Site are in Australian Dollars (AUD) and include GST at the applicable rate of ten per cent (10%). Prices may change without notice but will not change for orders already placed. Your order constitutes an offer to purchase, which we may accept or decline at our discretion. A binding contract is formed only when we issue an order confirmation by email.

We reserve the right to refuse or cancel orders where a listing contains an obvious pricing error, where payment cannot be verified, or where we reasonably suspect fraud.

Payments

Payments are processed by Stripe Payments Australia Pty Ltd. By submitting payment information, you authorise us to charge the nominated method for the total order amount. A tax invoice will be emailed on successful payment, and a copy will remain available from your account order history.

Refunds

Because Products are digital and delivered immediately, once a download has commenced the order is not refundable except:

  • where a wrong or a different product was provided than the one ordered, in which case we will, at our option and absolute discretion, provide a corrected version, replacement product, or a refund the fees paid; or
  • where a refund is required by the Australian Consumer Law.

Refund requests must be sent to support@skillworks.com.au within thirty (30) days of purchase and should include the order number and a description of the fault.

7. Electronic communications and records

The user consents to receiving notices, order confirmations, invoices, receipts, licence copies, download notifications, security alerts and other communications electronically.

The user agrees that Skillworks may keep electronic records of account creation, login events, two-factor authentication, checkout steps, licence acceptance, order records, download events, acknowledgements, IP logs, device information and communications for security, audit and evidentiary purposes. The user agrees that electronic acceptance records, timestamps and system logs may be relied on by Skillworks as evidence of registration, acceptance, purchase, authority and download activity.

8. Intellectual property and website content

All intellectual property rights in the website, portal interfaces, documents, product descriptions, downloadable resources, branding and related content remain with Skillworks or its licensors.

The user must not copy, reproduce, republish, distribute, sell, sublicense, upload publicly, reverse engineer, decompile or otherwise exploit website content or downloadable materials except as expressly allowed under the relevant licence agreement.

9. Suspension and termination

Skillworks may suspend, restrict or terminate an account immediately if it reasonably believes there has been a breach of these terms, a licence breach, unauthorised sharing, misuse, payment irregularity, security risk, misleading information or unlawful conduct. Termination or suspension of an account does not affect any accrued rights, existing payment obligations, licence restrictions, confidentiality obligations or intellectual property protections.

10. Disclaimer, indemnity and liability

The Site and the Products are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, and subject to any non-excludable rights under the Australian Consumer Law, we exclude all implied warranties, conditions, and representations.

Nothing in these terms excludes any rights that cannot lawfully be excluded under the Australian Consumer Law or other applicable law. Subject to those non-excludable rights, Skillworks is not liable for indirect or consequential loss, loss of profits, loss of revenue, loss of opportunity or loss caused by unauthorised account access resulting from the user's failure to protect credentials or comply with these terms.

Skillworks develops Products to support training, assessment, compliance, and quality assurance practices. However, Skillworks does not guarantee any audit outcome, regulatory decision, accreditation outcome, funding approval, or compliance finding. You remain responsible for reviewing, contextualising, implementing, and using the Products appropriately for your organisation, delivery model, learner cohort, scope, and regulatory obligations.

Any assurance, support, rectification commitment, or warranty is void where the Products have been changed, adapted, restructured, combined with other materials, or used outside their intended purpose without Skillworks' prior written approval.

To the maximum extent permitted by law, Skillworks accepts no liability for any loss, claim, audit outcome, regulatory action, rectification requirement, sanction, funding consequence, or other adverse event arising from or connected with your use, misuse, modification, implementation, or reliance on the Products, including any sharing, misuse, or unauthorised use of your registered account or access credentials.

You indemnify Skillworks and its executives, shareholders, directors, officers, employees, contractors, agents, and related entities against all claims, losses, damages, liabilities, costs, and expenses, including reasonable legal fees, arising out of your breach of these Terms, your misuse or modification of the Products, your failure to review or implement the Products appropriately, your infringement of a third party's rights, or any audit, regulatory, funding, or compliance action connected with your use of the Products.

11. Changes to these terms

Skillworks may update these User Registration Terms from time to time. The current version will be published on the website. For material changes, Skillworks will prompt users to review and re-accept updated terms at next login or before the next purchase.

These Terms apply in addition to the Skillworks Product Licence Agreement and any other written terms issued for the relevant Products. Where there is any inconsistency, the Product Licence Agreement or specific written terms will prevail.

12. Governing law

These User Registration Terms are governed by the laws of Victoria, Australia. The parties submit to the non-exclusive jurisdiction of the courts of Victoria.

Acceptance wording

On registration users confirm: that organisation details provided are accurate and complete; that the user is authorised to create the account and, where applicable, place orders and accept licence terms on behalf of the organisation; that they will not share login credentials, two-factor authentication codes or account access with any other person; that they consent to receiving notices, licence copies, receipts and account communications electronically; and that they have read and agree to the User Registration Terms, Privacy Policy and any applicable licence terms.
