Terms of Service

These Terms of Service (the Terms) govern your access to and use of the skillworksaustralia.com.au website (the Site) and the purchase of VET course materials and associated digital products (the Products) from Skillworks Australia Pty Ltd (ABN 00 000 000 000) of Level 17, 31 Queen Street, Melbourne VIC 3000 (Skillworks, we, us). By using the Site or placing an order, you agree to be bound by these Terms.

1. Eligibility

The Site is intended for use by Australian Registered Training Organisations (RTOs), their staff, and their authorised representatives. By creating an account or placing an order you warrant that:

  • you are at least 18 years of age;
  • you represent an RTO, or are otherwise authorised to enter into this agreement on behalf of the purchasing organisation;
  • the information you provide is accurate, complete, and kept up to date; and
  • you will comply with all applicable Australian laws, including the Standards for Registered Training Organisations (RTOs) 2015.

2. Accounts

To purchase Products you must register an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at security@skillworksaustralia.com.au if you suspect unauthorised access. We may suspend or terminate accounts that breach these Terms.

3. Orders and Pricing

All prices displayed on the Site are in Australian Dollars (AUD) and include GST at the applicable rate of ten per cent (10%). Prices may change without notice but will not change for orders already placed. Your order constitutes an offer to purchase, which we may accept or decline at our discretion. A binding contract is formed only when we issue an order confirmation by email.

We reserve the right to refuse or cancel orders where a listing contains an obvious pricing error, where payment cannot be verified, or where we reasonably suspect fraud.

4. Payment

Payments are processed by Stripe Payments Australia Pty Ltd. By submitting payment information you authorise us to charge the nominated method for the total order amount. A tax invoice will be emailed on successful payment and a copy will remain available from your account order history.

5. Digital Delivery and Licence

Products are delivered electronically as watermarked PDFs and supporting files. Access is granted under the Skillworks End User Licence Agreement (the EULA), which you accept at checkout and which is emailed to you as a signed record. Each licence is perpetual, non-transferable, and granted to the purchasing RTO only. The EULA is reproduced in summary form on our Licence Agreement page; the full signed version prevails in the event of inconsistency.

6. Refunds

Because Products are digital and delivered immediately, once a download has commenced the order is not refundable except:

  • where the Product is demonstrably faulty or materially not as described, in which case we will, at our option, provide a corrected version or refund the fees paid; or
  • where a refund is required by the Australian Consumer Law.

Refund requests must be sent to support@skillworksaustralia.com.au within thirty (30) days of purchase and should include the order number and a description of the fault.

7. Prohibited Use

You must not, and must not permit any third party to:

  • resell, sublicense, or otherwise transfer the Products to any person or organisation outside your RTO;
  • redistribute, publish, or share Product files on public networks, file-sharing services, or learning platforms outside your own LMS;
  • scrape, crawl, or bulk-download content from the Site other than through a normal web browser;
  • reverse engineer, decompile, or attempt to extract source material from Products or from any watermarks, encryption, or tokens protecting them;
  • use the Products or the Site to train, fine-tune, or ground a machine-learning model; or
  • interfere with the Site's security features, rate limits, or any authentication mechanism.

Breach of this clause is a material breach. Every Product ships watermarked with buyer details; leaked materials are traceable.

8. Intellectual Property

All intellectual property in the Site and the Products, including copyright, trade marks, designs, and know-how, is owned by Skillworks or its licensors. Except for the licence expressly granted in the EULA, no rights are transferred to you.

9. Disclaimer and Limitation of Liability

The Site and the Products are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, and subject to any non-excludable rights under the Australian Consumer Law, we exclude all implied warranties, conditions, and representations.

Our total aggregate liability to you in connection with these Terms or the Products, in contract, tort (including negligence), equity, or otherwise, is capped at the total fees you paid to Skillworks in the twelve (12) months immediately preceding the event giving rise to the claim. We are not liable for loss of profit, loss of business, loss of goodwill, loss of data, or any indirect or consequential loss.

10. Indemnity

You indemnify Skillworks against all claims, losses, damages, and expenses (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Products, or your infringement of a third party's rights.

11. Governing Law

These Terms are governed by the laws of the State of Victoria, Australia. You and we submit to the exclusive jurisdiction of the courts of Victoria and the courts competent to hear appeals from them.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email to the address on your account or by a notice on the Site. Continued use of the Site after the stated effective date constitutes acceptance of the updated Terms. For any purchase, the Terms in force at the time the order confirmation issued are the Terms that apply.

13. Severability and Entire Agreement

If any provision of these Terms is held to be invalid or unenforceable, that provision is severed and the remainder continues in force. These Terms, together with the EULA and our Privacy Policy, constitute the entire agreement between you and Skillworks regarding the Site and the Products and supersede any prior understanding.
