Licence Agreement

Every Skillworks course package is licensed under our End User Licence Agreement (the EULA). The EULA is accepted electronically at checkout, signed with a typed signature, and emailed to the purchasing RTO as a permanent record. This page summarises the agreement in plain English and links to the full text.

This summary is provided as a convenience. If any inconsistency arises between this page and the signed EULA you received at purchase, the signed EULA prevails.

What the licence grants

• a perpetual, non-exclusive, and non-transferable licence to the purchasing RTO;
• the right to use the materials for delivery and assessment of the qualifications or units the order covers;
• reproduction and distribution of the materials to enrolled students and authorised trainers of that RTO;
• use on the RTO's own learning management systems and internal networks, including face-to-face, online, and blended delivery modes;
• minor contextualisation adaptations: inserting your logo and branding, referencing your own policies and procedures, and adjusting scenario names to match your delivery context.

What the licence does not allow

• reselling, renting, lending, or sublicensing the materials to another RTO or training provider;
• sharing materials with any person or organisation outside your own students and staff;
• removing or altering copyright notices, watermarks, or version identifiers;
• using the materials to create a competing product or to train a machine-learning model;
• modifying assessment requirements, performance criteria, or knowledge evidence without our written consent.

Audit rectification

If an ASQA audit, re-registration activity, or compliance review finds that our materials are non-compliant when presented in their original, unmodified form, Skillworks will supply corrected materials at no additional cost within a reasonable period. Rectification does not apply to materials that have been modified beyond the contextualisation permitted above, to issues arising from the RTO's delivery practices rather than the materials themselves, or to Training Package changes that post-date the purchase.

Intellectual property

All intellectual property rights in the materials, including copyright, trade marks, design rights, and know-how, remain the property of Skillworks Australia Pty Ltd or its licensors. The licence grants only the rights expressly set out in the EULA; no other rights are granted by implication.

Governing law

The EULA is governed by the laws of the State of Victoria, Australia. The parties submit to the exclusive jurisdiction of the courts of Victoria.
