Licence Agreement

Every Skillworks course package and units of competency, learning resources, assessment resources, and supporting materials/documents is licensed under our End User Licence Agreement (the EULA). The EULA is accepted electronically at checkout, signed with a typed signature, and emailed to the purchasing organisation as a permanent record. Acceptance is required on every purchase.

This page summarises the agreement in plain English. If any inconsistency arises between this page and the signed EULA you received at purchase, the signed EULA prevails.

1. Parties and acceptance

The Agreement is between Skillworks Australia Pty Ltd ACN 146 742 369 of Level 17, 31 Queen Street, Melbourne VIC 3000, and the legal entity identified at checkout. The Agreement is accepted electronically when an authorised user clicks the acceptance box, proceeds with checkout after being shown the agreement, or downloads the purchased resources after acceptance.

2. Grant of licence

On full payment and continued compliance, Skillworks grants the Licensee a non-exclusive, non-transferable, revocable licence to use the Purchased Resources for the Licensee's own internal education, training, assessment, and related delivery activities within Australia. Unless the order record states otherwise, a One-Off Licence is perpetual for the life of the Licensee's business operations or registration.

3. What the Licensee may do

  • Download, store, and reproduce the Resources internally for delivery and assessment.
  • Permit Permitted Users (employees, genuine contractors) to access the Resources for the Permitted Purpose.
  • Contextualise the Resources for the Licensee's own delivery requirements, provided ownership notices remain intact.

4. What the Licensee must not do

  • Assign, sell, sublicense, rent, publish, share, distribute, or upload the Resources to any third party except as expressly permitted.
  • Permit any other RTO, provider, related entity, client, consultant, subcontractor, trainer, assessor, or representative to use the Resources as their own resource set, unless Skillworks has expressly licensed that use in writing.
  • Remove, alter, or obscure copyright notices, trademarks, or proprietary legends.
  • Use the Resources in any manner prejudicial to Skillworks or that falsely suggests endorsement, authorship transfer, or agency.

5. Digital delivery and access controls

Resources are supplied digitally via secure account download or approved guest checkout. Skillworks may require login, two-factor authentication, organisation verification, and acknowledgement screens before download. Access controls form part of the delivery method and do not expand the licence granted.

6. Ownership and IP

All intellectual property rights in the Purchased Resources remain vested in Skillworks or its licensors. No ownership rights transfer to the Licensee. The Licensee indemnifies Skillworks against loss arising from unauthorised use, distribution, or exploitation of the Resources.

7. Updates and audit rectification

Skillworks is not obliged to provide updates after purchase unless expressly stated. Where the Resources are original Skillworks materials and have not been materially altered by the Licensee, Skillworks will, within a reasonable period after receiving the relevant official audit findings, assist with rectification of identified deficiencies in the supplied assessment materials to the extent promised in the applicable product terms.

8. Licensee responsibilities

The Licensee warrants that the Licensee Details supplied are accurate and current and that the accepting user is authorised to bind the Licensee. The Licensee is responsible for contextualisation, validation, and all compliance obligations attaching to its own training, assessment, TAS, policies, procedures, and delivery arrangements.

9. Warranty and liability

To the maximum extent permitted by law Skillworks excludes all implied warranties and conditions except those that cannot lawfully be excluded. Nothing in this Agreement excludes non-excludable rights under the Australian Consumer Law. Subject to those rights, Skillworks' liability is limited, at Skillworks' option, to repair, replacement or re-supply of the affected Resources, or refund of the fees paid for the affected Resources.

10. Termination

Skillworks may suspend access or terminate this Agreement immediately by notice if the Licensee breaches the Agreement, fails to remedy a remediable breach within the stated notice period, becomes insolvent, ceases business operations, or uses the Resources in a way that threatens Skillworks intellectual property or commercial interests.

11. Electronic acceptance and records

The Licensee agrees that Skillworks may rely on electronic records including version-controlled terms, acceptance logs, timestamps, user IDs, account details, two-factor authentication records, checkout logs, payment records, IP logs, device information, order records and download logs as evidence of acceptance and authority. The Licensee consents to Skillworks providing a PDF or other electronic record of the accepted licence for retention, download, and emailing.

12. Governing law

The Agreement is governed by the laws of the State of Victoria, Australia. The parties submit to the courts of Victoria.

Acceptance wording

On acceptance users confirm: that they are authorised to accept this licence on behalf of the Licensee identified in the checkout details; that the organisation details, ABN and provider details supplied are accurate; that they have read and accept the Skillworks Online Licence Agreement; and that they understand the Purchased Resources are licensed to the named legal entity only and must not be sold, shared, sublicensed or distributed outside that entity except as expressly permitted.
